Due to company law constraints, it is not possible to structure a purchase of own shares (POS) with all or some of the sale consideration being paid as deferred consideration. Buying out the shares of a controlling shareholder may therefore prove difficult to finance from the company's existing financial resources. This video explains how these obstacles can be overcome.
